Only defendable reason not to upgrade is that you have something like a AMD athlon X2 4*00+ on a S939 motherboard with AGP. But those are pretty rare, so I guess this is not the case. Even if it would be, one would need to carefully consider whether he/she will continue to use that PC long enough for the investment to be worth it.
